2. OUR TWO ROLES

2.1 Bitlync operates a platform which sits between MSPs and ISVs. MSPs connect their business systems to the Service, and ISVs approved by the MSP receive scoped access to the MSP's data. In consequence, Bitlync processes Personal Information in two distinct capacities, and this Privacy Policy is organized accordingly:

(a) As a business and controller. In respect of Personal Information relating to the personnel of our customers, visitors to the Websites, prospective customers and sandbox users, Bitlync determines the purposes and means of processing and is a "business" or "controller" under Data Protection Laws. Paragraphs 3 to 12 apply to such processing.

(b) As a service provider and processor. In respect of Personal Information contained in MSP Data, Bitlync processes such information on behalf of and on the documented instructions of the MSP, and is a "service provider" or "processor" under Data Protection Laws. Paragraph 4 applies to such processing.

2.2 This Privacy Policy does not apply to the products and services of ISVs or of the vendors of Connected Systems, each of which is governed by that organization's own privacy policy.

3. PERSONAL INFORMATION WE COLLECT AS A BUSINESS

3.1 Information you provide to us. We collect: (a) account and contact details, including name, business e-mail address, job title, organization name and address, and telephone number, when you create an MSP Portal or ISV console account, sign in by verified e-mail link, submit the Contact us form, request early access or a demo, or otherwise contact us; (b) billing details of ISVs, including billing contact, invoicing address, tax identifiers and payment method (we do not take card details on the Websites; where an ISV pays by card, the card is entered on a page hosted by our payment processor and we do not store full card numbers); (c) the content of e-mails, support requests, feedback and survey responses; and (d) in the case of ISVs, integration configuration including requested permissions, webhook endpoints and company mappings.

3.2 Information collected automatically. We collect: (a) Usage Data, including records of API calls, writes, logins, Grant approvals, narrowings and revocations, connection health events and console activity, together with the user identity, IP address, timestamp and user agent associated with each event, which Bitlync retains in the Audit Log as a core feature of the Service; (b) ordinary web server logs when you load the Websites, which are hosted on GitHub Pages, including IP address, browser type, operating system, referring page, pages requested and timestamps; and (c) requests made to the public sandbox, including sandbox API keys issued. We do not use advertising pixels. Cookies are described in our Cookie Policy.

3.3 Information from other sources. We collect: (a) from ISVs, the organization name of an MSP and the business e-mail address of the MSP user who will complete a Connection, when the ISV initiates a co-branded Connect flow; and (b) from business partners, events and public professional profiles, the business contact details of prospective customers.

4. MSP DATA: BITLYNC AS SERVICE PROVIDER AND PROCESSOR

4.1 When an MSP establishes a Connection, Bitlync synchronizes data from the Connected System into a per-tenant sync store and serves it to the ISVs which the MSP has approved. MSP Data commonly comprises tickets, companies, contacts, devices, agreements, time entries and installed applications, and accordingly contains Personal Information relating to the MSP's personnel and to the personnel of the MSP's own clients, including names, business contact details, ticket contents and device assignments.

4.2 In respect of MSP Data, the MSP is the business or controller and Bitlync is its service provider or processor. Bitlync processes MSP Data only: (a) to synchronize it from the Connected System and serve it to ISVs within the scope of the Grants approved by the MSP; (b) to deliver writes requested by an ISV within its Grant back to the Connected System; (c) to operate the AI assistant, where enabled, which is read-only and confined to the MSP's tenant; (d) to maintain the Audit Log, connection health and the security of the Service; (e) as otherwise instructed by the MSP or required by Applicable Laws; and (f) to provide ISV Analytics as defined in the MSP Connect Terms.

4.3 Bitlync shall not: (a) sell MSP Data; (b) share MSP Data for cross-context behavioral advertising; (c) use MSP Data to train any generally available machine learning model; (d) aggregate MSP Data across MSPs for publication or sale; (e) share MSP names with vendors or ISVs for the purpose of building a marketplace; (f) create customers in an MSP's professional services automation system; or (g) synchronize documentation passwords or credential objects held in a Connected System. The terms on which Bitlync processes MSP Data are set out in the MSP Connect Terms and the DPA.

4.4 Credentials entered by an MSP are stored in Bitlync's vault, encrypted at rest using AES-256-GCM with per-tenant keys, are used solely to authenticate to the Connected System on the MSP's behalf, and are never disclosed to any ISV.

4.5 If you are a client of an MSP and have a question about your Personal Information, you should contact that MSP, which controls the data. Bitlync will refer any request it receives directly to the relevant MSP and will assist the MSP in responding.

5. HOW WE USE PERSONAL INFORMATION AS A BUSINESS

5.1 We use the Personal Information described in paragraph 3 for the following purposes: (a) to provide, operate and secure the Service, including authenticating users, enforcing tenant isolation and rate limits, and maintaining the Audit Log; (b) to show MSP users the permissions each ISV requests when they connect their systems, and to record their acceptances, approvals, narrowings and revocations; (c) to calculate fees, invoice and collect payment from ISVs; (d) to provide support, respond to enquiries and communicate service, security and legal notices; (e) to improve and develop the Service, including through analysis of aggregated or de-identified Usage Data; (f) to send marketing communications about Bitlync products and events, subject to your right to opt out; (g) to detect, investigate and prevent fraud, abuse, security incidents and breaches of our terms; (h) to comply with legal obligations and to establish, exercise or defend legal claims; and (i) for any other purpose disclosed to you at the time of collection or with your consent.

6. HOW WE DISCLOSE PERSONAL INFORMATION

6.1 We disclose Personal Information to the following categories of recipient: (a) service providers (sub-processors) which process information on our behalf under written contract, such as hosting, error monitoring, e-mail delivery, AI processing and form delivery providers, as listed at https://www.bitlync.com/legal/subprocessors; (b) ISVs and MSPs; we disclose MSP Data to ISVs at the MSP's direction within a Grant; we disclose to an ISV the name and business e-mail address of the MSP user who completed a Connection and connection health and Audit Log information relating to that ISV's Grant; and we disclose to an MSP the identity of each ISV holding a Grant and the Audit Log of that ISV's access; (c) vendors of Connected Systems, to which Credentials are presented in the ordinary course of authenticating to the Connected System; (d) legal and regulatory authorities, where required to comply with Applicable Laws, legal process or governmental request, to enforce our terms, or to protect the rights, property or safety of Bitlync, our customers or others; (e) professional advisers and prospective acquirers, including counsel, accountants and any purchaser of the business, under a duty of confidentiality, in connection with a merger, financing, acquisition, reorganization or sale of assets; and (f) any other recipient with your consent or at your direction.

6.2 We do not sell Personal Information and we do not share Personal Information for cross-context behavioral advertising, as those terms are defined in Data Protection Laws, and we have not done so in the twelve (12) months preceding the effective date of this Privacy Policy.
